1. THE AGREEMENT
The use of this website, mobile applications, and services provided by BidBolt LLC ("BidBolt," "we," "us," or "our") are subject to the following Terms & Conditions (the "Agreement"). This Agreement governs your access to and use of BidBolt.app, any related mobile applications (iOS and Android), and all services provided through these platforms (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, our Return Policy, our Disclaimer, our Loading Liability Terms, our Market Terms & Conditions, our Bidding Agreement, our Bug Bounty Program, and our Accessibility Statement (together, the "Legal Documents"). If you do not agree to all of the Legal Documents, you must not use the Services.
2. DEFINITIONS
- "Agreement" means these Terms and Conditions and the other Legal Documents referenced herein.
- "We," "us," and "our" refer to BidBolt LLC, a company operating in Arizona, United States.
- "User," "you," and "your" refer to any person accessing or using the Services, including individuals, companies, partnerships, sole traders, or other entities.
- "Services" means BidBolt.app (including the subdomain market.bidbolt.app), our mobile applications (iOS and Android), and all features including but not limited to: the Market storefront, the auction platform, bidding functionality, fixed-price purchasing, shopping cart, payment processing, pickup coordination, shipping services, push notifications, livestream auctions (when available), consignment services (when available), AI-powered support, personalized recommendations, and watchlist functionality.
- "Market" means the BidBolt fixed-price storefront where items are offered at set prices for immediate purchase ("Buy Now"), accessible at BidBolt.app/market or market.bidbolt.app.
- "Auction" means a timed online or livestream sale event where items are offered for competitive bidding.
- "Sales Channel" means the method through which an item is offered for sale, including auction, market (buy now), livestream, and consignment.
- "Lot" means an individual item or group of items offered for sale in an auction or on the Market.
- "Buy Now Price" means the fixed price at which an item is offered for immediate purchase on the Market.
- "Buyer's Premium" means an additional fee (currently 15%) added to the winning bid amount or the Buy Now Price, as applicable.
- "Cart Reservation" means the temporary hold placed on a Market item when added to a shopping cart, lasting fifteen (15) minutes.
3. ACCEPTANCE AND ELIGIBILITY
PLEASE READ THESE TERMS CAREFULLY. BY USING THE SERVICES, YOU AGREE THAT:
- You are at least 18 years of age or the age of legal majority in your jurisdiction;
- You have the legal capacity to enter into binding contracts;
- You will comply with all applicable laws and regulations;
- All bids you place are binding offers to purchase and all Market purchases are final upon checkout;
- You will pursue any claims or seek relief against us on an individual basis rather than as part of any class or representative action; and
- You accept limitations on our liability as described herein.
We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting. Continued use of the Services after changes constitutes acceptance of the modified Terms.
4. ACCOUNT REGISTRATION AND SECURITY
To participate in bidding or purchase items on the Market, you must create an account. For bidding, you must also complete our bidder verification process, which includes:
- Account Creation: Provide accurate personal information including your name, email address and phone number.
- Card Verification: Add a valid payment method. We perform a $0.00 authorization to verify your card is valid and can be charged. If this authorization fails, your bidding privileges will be suspended.
- Bidding Agreement: Sign our digital Bidding Agreement, which authorizes us to charge your payment method for won items.
You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account information.
Providing false information or using the Services for fraudulent purposes is grounds for immediate account termination and may result in legal action.
5. BIDDING RULES
The following rules govern all bidding activity on BidBolt:
5.1 General Bidding
- Binding Bids: All bids are binding offers to purchase. Once placed, bids cannot be edited, retracted, or deleted.
- Minimum Increment: Bids must meet or exceed the minimum bid increment (typically $1.00) above the current high bid.
- Bid Confirmation: Review all auction details before bidding. You are responsible for understanding the item condition, description, and any applicable fees.
5.2 Proxy Bidding
BidBolt offers an automatic proxy bidding feature:
- You may enter a maximum bid amount you are willing to pay.
- The system will automatically place bids on your behalf in the minimum increment necessary to maintain the highest bid, up to your maximum.
- If another bidder exceeds your maximum bid, you will be notified that you have been outbid.
- Proxy bids are treated as bids placed by you and are fully binding.
5.3 Anti-Sniping Protection
To ensure fair bidding opportunities:
- If a bid is placed within the final 30 seconds of an auction, the auction end time is automatically extended by 2 minutes.
- This extension occurs each time a qualifying bid is placed, continuing until no bids are placed in the final 30 seconds.
5.4 Winning a Lot
When an auction ends, the highest bidder wins the lot and is legally obligated to complete the purchase.
6. MARKET PURCHASES (BUY NOW)
The BidBolt Market is a fixed-price storefront where items are offered for immediate purchase. The following rules govern all Market activity:
6.1 Purchasing
- Fixed Pricing: Items on the Market are listed at a set Buy Now Price. There is no bidding — you purchase the item at the displayed price.
- Binding Purchase: Completing checkout constitutes a binding purchase. All Market sales are final upon payment confirmation.
- Buyer's Premium: A 15% Buyer's Premium is added to the Buy Now Price, plus applicable sales tax.
6.2 Shopping Cart and Reservations
- Cart Reservation: When you add an item to your cart, a fifteen (15) minute reservation hold is placed on that item. During this period, the item is temporarily removed from availability for other buyers.
- Reservation Expiry: If you do not complete checkout within the 15-minute reservation window, the item is automatically released back to the Market and may be purchased by another buyer.
- No Guarantee: Adding an item to your cart does not guarantee purchase. Items are only secured upon successful payment.
6.3 Sold As-Is Policy
All palletized and liquidation merchandise listed on the Market is sold strictly as-is, where-is. These lots come directly off freight trucks and are not inspected, tested, or verified by BidBolt prior to sale. Items within pallet lots may include scratch & dent, salvage, overstock, liquidation, open box, or customer return merchandise. Any manifest provided is for reference only and may not be fully accurate.
6.4 Buyer Responsibility
It is the buyer's sole responsibility to inspect all items and pallets at the time of pickup or delivery. By completing a Market purchase, you acknowledge that items are not pre-inspected by BidBolt, contents may differ from any provided manifest, individual item conditions may vary, and you accept all risk associated with the purchase.
6.5 Additional Market Terms
Market purchases are also subject to our Market Terms & Conditions, which provide additional detail on the sold-as-is policy, buyer responsibility, returns, and shipping for Market transactions. In the event of a conflict between these Terms and the Market Terms, the Market Terms shall govern for Market-specific transactions.
7. LIVESTREAM AUCTIONS
When available, BidBolt may offer real-time livestream auction events. The following additional terms apply:
- Host Control: Livestream auctions are conducted by a host who controls the pace and flow of the event, including when lots open and close for bidding.
- Real-Time Bidding: Bids are placed in real-time during the live broadcast. All standard bidding rules apply.
- Technical Issues: We are not responsible for technical difficulties that may prevent you from participating, including but not limited to internet connectivity issues, device failures, or platform outages.
- Chat Conduct: Livestream chat features are subject to moderation. Inappropriate, abusive, or spammy messages may result in chat suspension or account restrictions. Rate limits may apply to chat messages.
- Recording: Livestream sessions may be recorded for quality assurance and dispute resolution purposes.
8. PRICES, FEES, AND PAYMENT
8.1 Pricing
- All prices are displayed in United States Dollars (USD).
- Auction Purchases: The final amount due includes the winning bid amount, plus a 15% Buyer's Premium, plus applicable sales tax.
- Market Purchases: The final amount due includes the Buy Now Price, plus a 15% Buyer's Premium, plus applicable sales tax.
- Shipping fees may apply if shipping is selected as the fulfillment method.
8.2 Payment Processing
- Auction Auto-Charging: Immediately following the close of each auction event, we will automatically charge your registered payment method for any lots you have won.
- Market Checkout: For Market purchases, your payment method is charged at the time you complete checkout. Payment must be successful to complete the purchase.
- Multiple Payment Methods: You may store multiple payment cards in your account profile. You may select which card to use, or we will charge your default payment method.
- Failed Payments: If your payment fails, we will attempt to notify you and may issue an invoice for manual payment. Repeated payment failures may result in suspension of bidding and purchasing privileges.
- Payment Processor: Payments are processed securely through Square (Block, Inc.). We do not store your full card numbers.
8.3 Cash Payments
BidBolt may permit cash payments at our discretion:
- You must notify us in advance at [email protected] to request cash payment.
- Failure to pick up and pay within the designated pickup window will result in your card being charged.
- Misuse of the cash payment option may result in suspension of this privilege.
9. PRODUCT DESCRIPTIONS AND CONDITIONS
We make reasonable efforts to describe products accurately. However:
- Product descriptions and images are provided for informational purposes and are not binding guarantees.
- Color representations may vary due to monitor calibration and lighting conditions.
- We reserve the right to correct errors in descriptions, pricing, or availability at any time, including after an order is placed.
9.1 Condition Notations
- "New" — Products that appear visually unused. These items have not been functionally tested and may originate from various sources including overstock, shelf pulls, open box returns, or liquidation.
- "Used" — Products that have been previously owned or used. May show signs of wear and have not been inspected for completeness or full functionality. Additional defects beyond those noted may exist.
- "Damaged" — Products with known cosmetic or functional damage as described in the listing.
- "Untested" — Products that have not been tested for functionality.
- "Pallet" — Bulk lots sold as-is without individual item inspection.
AI-generated descriptions may be used to assist with product listings. While we review these for accuracy, please examine photos and available details carefully before bidding.
10. PICKUP AND FULFILLMENT
10.1 In-Person Pickup
- Auction Pickup Window: You must pick up auction-won items within three (3) calendar days from the auction end date during designated pickup hours.
- Market Pickup Window: You must pick up Market purchases within five (5) business days from the purchase date during designated pickup hours.
- Identification Required: Present a valid government-issued photo ID at pickup. We may verify your identity against your account information.
- Check-In: Use the "I'm Here" feature in the app when you arrive to enter our pickup queue. You may be asked to provide a parking spot number.
- Signature: A digital signature confirming receipt may be required at pickup.
10.2 Forfeiture
Items not picked up within the applicable pickup window:
- Will be forfeited to BidBolt;
- May be subject to a 15% restocking fee charged to your payment method;
- For Market purchases, a daily storage fee may apply after the pickup window expires;
- May be disposed of, resold, or donated without refund; and
- May result in suspension of your bidding and purchasing privileges.
10.3 Shipping
BidBolt offers nationwide shipping across the continental United States. The following terms apply:
- Shipping Rates: Shipping costs are calculated based on package dimensions, weight, and destination distance. Rates are displayed at checkout before you complete your purchase.
- Flat-Rate Pallet Shipping: Pallet shipments are offered at flat-rate pricing, which may vary based on distance from our facility.
- Shipping Fees: Shipping fees are charged in addition to the purchase amount, Buyer's Premium, and applicable taxes.
- Third-Party Carriers: Shipped items are handled by third-party freight carriers. BidBolt is not responsible for damage that occurs during transit.
- Freight Insurance: We recommend purchasing freight insurance for high-value shipments. BidBolt does not provide insurance coverage for shipped items.
- Risk of Loss: Risk of loss transfers to you upon delivery to the carrier.
- Delivery Timelines: Shipping timelines typically range from 5–10 business days depending on destination and carrier availability. These are estimates and not guaranteed delivery dates.
- Eligibility: Some items or destinations may not be eligible for shipping. Shipping availability will be indicated at checkout.

11. RETURNS AND REFUNDS
11.1 Auction Purchases
All auction sales are final. Limited refunds may be available only in the following circumstances:
- The item was materially misrepresented in the listing (e.g., listed as "New" but clearly used, or listed as "Functional" but non-operational);
- The refund request is submitted within three (3) business days of pickup;
- The item is returned in its original packaging with all included materials; and
- The refund is approved by BidBolt management after inspection.
Refund decisions are at BidBolt's sole discretion. Approved refunds will be credited to the original payment method within 3-10 business days. See our complete Return Policy for details.
11.2 Market Purchases
All Market sales are final. No returns, refunds, or exchanges are offered on pallet lots or liquidation merchandise purchased through the Market. If you believe there has been a significant error with your order (e.g., wrong pallet delivered), please contact our support team within 24 hours of pickup or delivery with photos and documentation. We will review on a case-by-case basis but are not obligated to issue a refund. See the Market Terms & Conditions for additional detail.
12. CONSIGNMENT SERVICES
When available, BidBolt may offer consignment services allowing third parties to sell items through our platform:
- Buyer Fee: Items sold on consignment may include an additional buyer fee (typically 15%) charged to the winning bidder, separate from the standard Buyer's Premium.
- Staging Fees: Consignors may be charged weekly storage/staging fees for items held at our facility.
- Item Representation: Consigned items are represented as provided by the consignor. BidBolt makes reasonable efforts to verify descriptions but is not liable for inaccuracies in consignor-provided information.
13. COMMUNICATIONS AND NOTIFICATIONS
By creating an account, you consent to receive electronic communications from us via:
- Email: Transactional messages including bid confirmations, outbid alerts, won auction notices, invoices, and pickup reminders.
- Push Notifications: Real-time alerts on web and mobile devices (you can disable these in your device settings).
- SMS/Text Messages: Time-sensitive notifications such as pickup readiness (message and data rates may apply).
- WhatsApp: When enabled, notifications via WhatsApp messaging.
You may manage your notification preferences in your account settings. Certain transactional messages cannot be disabled while you have an active account.
14. MOBILE APPLICATIONS
Our mobile applications for iOS and Android are subject to these Terms. Additionally:
- App Store Terms: Your use of the app is also subject to the terms of service of the Apple App Store or Google Play Store.
- Device Permissions: The app may request access to device features such as the camera (for barcode scanning), notifications, and location services. You may deny these permissions, but some features may be limited.
- Updates: We may release updates to the app. Continued use of older versions may result in reduced functionality.
15. AI-POWERED FEATURES
BidBolt uses artificial intelligence to enhance the Services:
- Customer Support: Our AI support assistant can answer common questions and help troubleshoot issues. For complex matters, you may be directed to human support.
- Product Descriptions: AI may assist in generating or optimizing product descriptions and extracting information from product images.
- Recommendations: AI may be used to suggest relevant auctions and Market items based on your browsing, bidding, and purchase history.
- Activity Tracking: To power personalized recommendations, we collect data about your interactions with the platform, including items viewed, searches performed, bids placed, items added to cart, and purchases completed. This data is used in accordance with our Privacy Policy.
AI-generated content is provided for convenience and may contain errors. Always review product details and images carefully before bidding or purchasing.
16. SUSPENSION AND TERMINATION
We may suspend or terminate your account and access to the Services at any time, with or without notice, for reasons including but not limited to:
- Violation of these Terms or any Legal Document;
- Repeated payment failures or declined charges;
- Failure to pick up won items;
- Suspected fraudulent activity, shill bidding, or bid manipulation;
- Abusive behavior toward staff or other users;
- Providing false or misleading information; or
- Any other conduct that we determine, in our sole discretion, is harmful to BidBolt, other users, or third parties.
We reserve the right to refuse service to anyone at any time. Reinstatement of suspended accounts is at our sole discretion.
17. AUCTION AND MARKET MANAGEMENT
BidBolt reserves the right to:
- Cancel, terminate, postpone, or extend any auction at any time;
- Remove any item from an auction or the Market before or during the listing period;
- Refuse to accept any bid, cancel any winning bid, or cancel any Market order;
- Adjust Market pricing, including Buy Now Prices, at any time;
- Refuse to release items if fraud is suspected; and
- Modify auction scheduling, end times, Market availability, and other parameters.
18. ACCEPTABLE USE
You agree not to use the Services:
- For any unlawful purpose or in violation of any laws or regulations;
- To harass, abuse, threaten, or violate the rights of others;
- To engage in shill bidding, bid manipulation, or collusion;
- To interfere with the operation of the Services or circumvent security measures;
- To upload viruses, malware, or other harmful code;
- To scrape, harvest, or collect data from the Services without permission;
- To create multiple accounts to circumvent restrictions or bans;
- To impersonate another person or entity; or
- To use automated tools (bots) to place bids unless explicitly authorized.
19. INTELLECTUAL PROPERTY
The Services, including all content, features, functionality, text, graphics, logos, and software, are owned by BidBolt or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any BidBolt content without our express written permission.
20. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BIDBOLT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT;
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; AND
- WARRANTIES REGARDING THE CONDITION, QUALITY, OR FUNCTIONALITY OF ANY PRODUCTS SOLD.
Products are sold "as-is, where-is." BidBolt does not guarantee the functionality, safety, or fitness for any purpose of items sold through the platform.
21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BIDBOLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL;
- BIDBOLT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO BIDBOLT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; AND
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF BIDBOLT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
22. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless BidBolt LLC, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of or inability to use the Services;
- Your breach of these Terms;
- Your violation of any rights of third parties; or
- Your violation of any applicable laws or regulations.
23. DISPUTE RESOLUTION
Any dispute arising from these Terms or your use of the Services shall be resolved as follows:
- Informal Resolution: Before filing any legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
- Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations.
- Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.
24. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.
YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING FROM THESE TERMS.
25. SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
26. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Return Policy, Disclaimer, Loading Liability Terms, Bidding Agreement, Market Terms & Conditions, Bug Bounty Program, and Accessibility Statement, constitute the entire agreement between you and BidBolt regarding the Services and supersede all prior agreements, understandings, or communications.
